合同与下列法律条款一致:
《中华人民共和国合同法》、《中华人民共和国建筑法》
《建设工程勘查设计市场管理规定》及其它有关建筑工程勘察设计的管理法规和规章。
相关建设工程审批文件。

甲方所提供的《景观设计任务书》。

设计规范和规定应按照中华人民共和国深圳市有关设计规范和设计规定。

5:双方权利义务
甲方权利义务
甲方按本合同规定的内容,向乙方提交景观设计所必需的资料和文件作为乙方设计的依据,并对其完整性和正确性负责。
甲方应按本合同规定的金额和时间向乙方支付设计费用。在设计过程中,如因甲方的需要,对已确认的设计要求做出重大修改,而造成乙方增加额外开支,费用由甲方负责,具体费用由甲乙双方协商确定。
在收到乙方提交的阶段性设计文件后,甲方应及时以书面形式确认,明确的提出修改意见及完成时间。
甲方指定 陈悫 为本项目甲方负责人;乙方指定 Karl Princic 为本项目主要设计师,如果乙方更换本项目设计负责人或主要设计师,须提前一周书面以公文并法人签字通知甲方,同时须征得甲方同意。
甲方负责本合同中各方面与设计内容相关的人员,在现场交流中的组织协调工作。甲方负责景观设计各阶段向政府部门进行申报工作。
甲方上级对设计文件不审批或本合同项目停缓建,甲方应按乙方实际完成的工作量支付应付的设计费。
若由于甲方的原因延误设计工期,合同条款中相应的出图日期将向后顺延。
对于乙方为履行本合同向甲方提供的所有阶段性和最终设计成果,及因履行本合同所产生的其他研究成果,双方同意其所含有的一切知识产权含著作权、申请专利权和专利权等权利属于甲方所有 。成果提交甲方后,经甲方书面同意,乙方可以发明人/作者的名义在学术研究领域发表、申报评奖。甲方在征询乙方同意后,可以自行或委托他人为任何方式之使用、修改和处分乙方提交的设计成果。未经甲方事前书面许可,乙方不得对上述设计成果做任何复制、修改、转让、自行或提供给他人做任何方式的使用。乙方违反本条规定的,甲方有权单方解除本合同,乙方应返还甲方所有设计费并赔偿甲方因此受到的损失。
乙方权利义务
乙方必须遵照中国及东莞市颁布的有关规范、规定及本合同约定内容进行设计,并应使设计服从甲方对本项目景观设计的总体构思;在设计过程中必须加强与甲方的沟通和协调;乙方对本项目设计的适用性、正确性、经济合理性负责。
合同生效起一周内,乙方应向甲方提交详细的设计计划书,包括设计进度、设计师及相关人员配备情况、设计人员简历、设计总负责人、主办人及联系电话等,报甲方备案;乙方必须为本项目的设计配备经验丰富且富于创新精神的设计师承担设计工作。工程结束之前,乙方应保证该项目主要设计人员的稳定。
在设计过程中,乙方有责任应甲方要求就设计图纸的进度情况作阐释交流,参与甲方组织的景观方案汇报和施工图纸的会审,以确保最终的设计效果,定期配合甲方确定有关景观效果的主要材料。
对设计过程中所需的设计资料或其他需甲方配合的事项应及时通知甲方。若甲方因销售或企划等部门对外宣传需要对设计作诠释或邀请乙方参与讨论时,则乙方有协助义务。
对于设计过程中的各阶段性设计或其他重要问题,乙方均应先送甲方审核后方可进行下一步的设计,此类问题主要是指涉及总体布局和重要景观要素的确认和调整、涉及工程量和投资变化较大的调整等问题。
乙方对设计文件出现的遗漏或错误应无条件修改或补充。若因乙方原因造成设计返工,所造成的费用,由乙方自理;若由于乙方原因而使设计进度有拖延或设计错误,而使甲方蒙受经济、时间或质量上的损失,则乙方应给予甲方赔偿,此损失赔偿可在甲方向乙方的任何支付中扣留。
成本控制
乙方应做到所有设计方案经济合理,如甲方认为乙方在设计过程中存在经济性方面的问题,乙方应对景观方案做出修改。
聘请顾问或协助部门
乙方在必要时可聘请顾问进行设计指导工作,其费用由乙方决定并在设计费中分摊或支付,但设计成果统一由乙方向甲方负责。未经甲方书面许可,乙方不得转委托。甲方因工作需要自行聘请或建议聘请的专业顾问,其费用由甲方决定并由甲方支付。
乙方负责原定设计范围内的必要修改设计,包括调整设计及补充设计。在乙方执行设 计任务期间,甲方如有较小修改设计、变更设计,乙方将不另行收费,甲方如有重大变更设计,甲、乙双方应立即签订补充协议,费用另计,乙方应及时安排变更设计,不得影响工程施工进行。(注:重大变更设计是指设计范围的修改和景观方案的重大调整,并造成乙方五个工作日以上的工作量的)
乙方了解在与甲方合作过程中所获得或知悉的关于甲方的信息包括项目信息、技术图纸、资料、经营信息、人力资源、本合同所涉及的设计/研究内容、设计/研究成果等等所有未公开之信息为甲方的商业秘密,应严守其秘密性。未经甲方事先书面同意,乙方不得将乙方商业秘密或甲方提供给乙方的技术资料、图纸等用于履行本合同之外的其他用途。乙方上述保密义务的期限,从乙方知悉该资料或信息之日起,直至公众可通过合法途径获得、知悉相关资料、信息之日止。
乙方应保证其向甲方提交的成果(包括阶段性和最终性成果)及乙方为实现该成果所使用的必要方法不侵犯第三人的合法权益。甲方因使用乙方提交的成果被第三人指控侵权、提出异议或权利主张的,乙方应当积极协助解决,并承担由此给甲方造成的损失。同时,甲方有权选择解除合同或不解除合同要求乙方提交符合合同要求的替代设计成果。
乙方应当保证其提交的成果符合国家及地方现有法律、法规、规章政策及行业规范之要 求、符合本合同目的。如果因不符合上述要求给甲方或其他第三人造成损失的,乙方应予以赔偿。
5.2.13甲方收到乙方提交的全部设计图纸资料后,如发现乙方违背合同规定的责任和义务时,乙方又不修改图纸,甲方则可暂不支付本合同规定的应付乙方的相应金额。

6:费用、付款及设计成果交付
费用:
本工程费用总计为美元贰拾肆万伍仟元整($ 245000.00).包括概念方案设计、方案深化设计、扩初设计及施工图审核及现场服务五阶段。
6.1.1 此费用包括项目进行期间,乙方安排到深圳与甲方会晤或查看现场12次,每次2天的所有费用。
设计进度、费用和支付方式如下:
设计费用所引致的国内税项由甲方承担。甲方支付设计费前,乙方须按照设计进度提交给甲方设计费发票,甲方在收到发票并审核乙方交付设计成果和发票资料合格无误后按照下列表格支付相应的设计费。.
1: Bases of the Agreement

“Agreement Law of People’s Republic of China”, “Building Code of the People’s Republic of China””;
“Market Administration Regulations for Engineering Construction Projects and Geological Surveys” and other relevant laws, codes and regulations;
The approved documents concerning Project construction.
2:General Description
Project Name: VANKE SHENZHEN TANGYUE
Project Location: Dongguan, China.
Project Scope:The TangYue Large phase II project is located in Dongguan, The project total property area of 350000 m2, landscape area of 108605m2.
3: Bases of the Design
Contents stipulated in the Agreement.
Specifications for the schematic design, development design provided by Party A.
First floor plan, property line, master plan, design sub area graphic etc. proved by Party A.
Requirements,Interpretation verification of SZ government and People’s Republic of China.

5: Rights and Obligations
Rights and Obligations of Party A
Party A shall provide necessary documents and information to Party B as Party of the bases of the Project design performed by Party B and shall assume the responsibility for their integrity and exactness.
Party A shall pay Party B for the Project design in accordance with the Agreement. If material modification is made by Party B according to the order of Party A, which causes additional expense, Party A shall pay Party B the additional incurred fees. The amount of such additional fees shall be negotiated in good faith by both Parties.
Party A shall check and accept the design documents in writing in time after receipt. And Party A shall indicate its revise comments and time requirement.
Party A assigns wayne as its Principal of the Project, and Party B assigns Karl Princic as its Principal of the project may not change its Principal or main architect without 7-day prior written notification to and written approval of Party A.
Party A will arrange for communication between each design firm of the Parties and apply for the commissioning of the Project.
If the parent company of Party A refuses to approve the design or the Project is suspended, Party A shall pay Party B based on the amount of the design work performed by Party B and delivered to Party A in accordance with the relevant articles of this Agreement.
If the schedule of the Project is delayed because of Party A, the design work delivery date shall be postponed accordingly.
Any and all intellectual property rights, the amplification rights of such intellectual proprietary rights and their derivatives created by a Party or both Parties in relation to design, and use of the design work shall be the sole and exclusive property of Party A. Party B can publish or apply for awards as author in the study and research fields with prior approval of Party A. With the agreement of Party B, Party A has the right to use, allow others to use, modify or allow others to modify, or transfer Party B’s design work to any third Party. Party B shall not copy, modify, transfer, use or provide the design work provided to Party A to any third Party to use in any way without prior written approval of Party A. If Party B breaches this article, Party A has the right to terminate the Agreement. Upon termination of the Agreement, Party B shall return all the fees paid by Party A and reimburse any and all costs and losses caused.
Rights and Obligations of Party B
Party B shall perform the design in accordance with this Agreement and relevant rules and regulations in DongGuang City and assume responsibility for the feasibility, exactness and rationality of the economy of the design works. Party B shall use its best effort to make the design work in accordance with Party A’s general landscape concept. To ensure accordance with the specifications, Party B shall make sufficient communication with Party A.
Within one week of executing this Agreement, Party B shall deliver to Party A the detailed plan of design services, including not limited to, schedule, list of principals of the Project, main architects, architects, and other necessary persons involved; resumes of those persons, and contact telephone numbers. Party B shall assign professional and experienced persons with highly creativity to perform the design and shall not change them during performance of the Agreement.
Party B shall communicate with Party A regarding Party A’s schedule requirements, attend landscape scheme conferences or meetings, review the construction drawings to insure the consistency of the final design work, and periodically assist Party A in selecting main landscape decorations materials.
Party B shall notify Party A in a timely fashion for any and all necessary assistance needed from Party A. Party B shall assist Party A by explaining the design work upon the request of or as required by Party A.
Without prior written approval of Party A, Party B shall not start any additional design work phases, including but not limited to, confirmation or modification of the Project’s general layout or main landscape elements, or material adjustment on the amount of the construction or investment. Minor changes or problems with completed design work shall not preclude beginning a new or additional design phase.
Party B shall correct and amend any and all errors or omissions of the design work at its own expense. If Party B redoes the design work because of its own error or omission, all additional fees incurred shall be assumed by Party B. All costs and losses caused by delivery delay or errors or omissions in the design work shall be reimbursed by Party B or may be deducted from any payments due and payable to Party B.
Control of the costs
Party B shall use its best efforts to make all design concepts or scheme of the economically rationale; otherwise, Party B shall modify the design at Party A’s request.
Appointment of counselor or request for assistance
Party B may appoint a counselor to assist in the Project design. Any reasonable fees caused by such appointment shall be paid by Party A on the condition that Party B shall remain liable for the Design according to the Agreement. Without prior written approval of Party A, Party B shall not assign its obligations to any third Party. If Party A appoints a counselor on benefit of itself, Party A shall pay for such fees.
Party B shall modify the design within the scope of this Agreement, including but not limited to, modification, adjustment and amendment. If the modification is minor, the fees shall be included in the fees described in Article 6; if material modification is made because of Party A, Party A shall pay for such services provided by Party B and both Parties shall negotiate to determine the amount of extra fees payable “M. “Material modification” means the changes in the design or adjustments of the landscaping scheme requiring Party B to spend five or more additional working days.
“Confidential information” shall mean (a) any information, including but not limited to, the information of the Project, drawings, management information, personnel, research, development contents and design in relation to the Agreement, disclosed to or learned by Party B pursuant to this Agreement. Party B acknowledges that in the course of the performance of the Agreement, it may obtain confidential information from Party A. Party B will, at all times, both during the term of this Agreement and at all times thereafter, keep in confidence and trust all of the Party A’s confidential information received by it. Party B will not use the confidential information other than as necessary to perform its obligations or exercise its rights under this Agreement.
